    1 Initial
    Assessment

    - Business structure review: Assess Qualifying Free Zone (QFZP) eligibility for 0% tax on qualifying Free Zone income (9% on non- qualifying, like Mainland), or confirm Mainland 9% taxation.

    -Ensure compatibility of software with FTA e-filing requirements.

    (Zoho Books, Quickbooks etc.) -Small Business Relief: Check eligibility and advise on electing 0% tax (revenue < AED 3M) — only available to Mainland or non- qualifying Free Zone entities.

    -Additional Free Zone QFZP checks: Review substance requirements, qualifying activities, and de minimis rules to secure and maintain 0% tax status.

    -Full transaction recording on accountancy software, complete digitisation, and secure 7-year storage of all supporting documents.

    2 Bookkeeping and Record- Keeping

    -Detailed checks every quarter to ensure accuracy, FTA compliance, and (for Free Zones) correct segregation of qualifying vs. non-qualifying income.

    -Creation of all required records: Sales/purchase ledgers, bank statements, payroll, inventory, and fixed asset registers fully up-to- date and audit-ready.

    -Preparation of unaudited balance sheet, profit & loss, cash flow statement, and supporting notes.

    3 Preparation of Financial Statements

    -Audit-ready statements (if required): Draft full IFRS-compliant financials for external audit

    – mandatory for all Free Zone QFZPs and any business (Free Zone or Mainland) with revenue over AED 50 million.

    4 Audit Coordination (If Applicable)

    – Arrange an independent FTA-approved auditor (mandatory for all Free Zone QFZPs and any business with revenue > AED 50 million).

    – Prepare complete underlying accounts and supporting files for the auditor.

    – Manage the full process and ensure audited statements are submitted with the tax return within 9 months of year-end.

    5 Corporate Tax Filing and Submissions

    – Complete preparation and submission of the annual return via EmaraTax, including financial summaries, tax calculations, and all elections (e.g., Small Business Relief).

    – Full deadline management to ensure timely filing (e.g., within 9 months of financial year-end)

    What Qualifies a Free Zone Business for 0% Corporate Tax?

    A Qualifying Free Zone Person (QFZP) must meet ALL these conditions:

    • Perform core income-generating activities inside the Free Zone.
    • Have adequate substance: qualified full-time employees, physical premises/assets, and operating costs that match the business size.
    • Earn mainly “qualifying income” (e.g., manufacturing, logistics, holding shares, distribution, headquarters services).
    • Keep non-qualifying income (e.g., mainland sales, banking, insurance) below 5% of total revenue OR AED 5 million (whichever is lower).
    • Prepare annual audited financial statements under IFRS.
    • Follow arm’s-length pricing on related-party transactions.
    • Retain all records for 7 years.

    Fail any of these → full 9% tax applies to all income.
